Terms of Service

Thank you for choosing Rush Acquisition LLC, doing business as Rush Digital Marketing, to support your business growth. These Terms of Service govern the relationship between you (the Client) and Rush Digital Marketing (the Company) and apply to all services we provide.
By submitting payment, electronically accepting these Terms, or otherwise engaging our services, you agree to be bound by them.
1. Services
Rush Digital Marketing provides marketing services, training, and consulting designed to support business growth, primarily through LinkedIn lead generation systems.
Services may include, but are not limited to:

Self-paced training programs

Done-with-you system builds

Done-for-you lead generation and appointment setting

Strategy, consulting, and ongoing support
The specific scope, deliverables, timeline, payment terms, refund policy, and any guarantees applicable to a particular engagement are set forth in the individual service agreement, enrollment confirmation, or written proposal provided to the Client at the time of purchase. In the event of any conflict between these Terms and a service-specific agreement, the service-specific agreement controls.
2. Client Responsibilities
To support the success of any engagement, the Client agrees to:

Complete the applicable onboarding process

Provide reasonable cooperation and timely responses to communications

Maintain any third-party tool subscriptions required for the service

Engage with deliverables and the Company in good faith
Specific requirements applicable to a particular service are outlined in the relevant service agreement or onboarding materials.
3. Payment
Payment terms, including amount, schedule, and method, are set forth in the individual service agreement at the time of purchase.
Rush Digital Marketing accepts ACH, credit card, and debit card payments. Pricing is subject to change. Any changes will not affect engagements already in progress.
4. Cancellation, Refunds, and Termination
All payments made to Rush Digital Marketing are final and non-refundable, except where a specific refund right is expressly granted in the individual service agreement applicable to the Client's engagement.
This no-refund policy applies regardless of:

Dissatisfaction with performance, timing, or results

Early termination by the Client

Changes in business circumstances

Subjective disagreement with strategy, campaign direction, or outreach style
Cancellation procedures, notice requirements, and any applicable refund or termination rights are set forth in the individual service agreement.
If the Client chooses to resume services in the future after termination, updated services or pricing may apply.
5. Rules of Engagement
The Client understands and agrees to the following:
Rush Digital Marketing operates with the Client's best interests in mind when making decisions related to the engagement.
The services provided are intended to support the Client's broader sales and business development efforts. They are one part of a larger growth process and do not, on their own, guarantee specific business outcomes.
The Client agrees to allow Rush Digital Marketing to execute its proprietary process without interference so the engagement can be carried out effectively.
The Client remains responsible for the overall growth of their business, including sales conversion, client fulfillment, and all business development efforts beyond the scope of the engagement.
Rush Digital Marketing serves multiple clients at the same time. The Client agrees to respect the time and availability of the team and trust that deliverables will be provided as outlined.
6. No Guarantees
Any specific guarantees, performance commitments, or expected outcomes applicable to a particular engagement are set forth in the individual service agreement and apply only to that engagement.
Outside of those specific commitments, Rush Digital Marketing does not guarantee any particular result, including but not limited to leads generated, replies received, calls booked, revenue earned, or sales closed.
Any examples, estimates, benchmarks, or past results shared in sales conversations, emails, marketing materials, or program content are illustrative only and should not be interpreted as guarantees. Performance depends on many factors, including niche, offer strength, audience response, market conditions, and Client responsiveness.
7. Additional Services
Services outside the scope of the Client's engagement are not typically included. If the Client requests additional work and the Company agrees to provide it, that work will be billed at a rate agreed upon in writing before the work is performed. Approval by Slack or email is sufficient.
8. Intellectual Property
All materials provided by Rush Digital Marketing, including training content, frameworks, templates, scripts, message sequences, and proprietary methodologies, are the intellectual property of Rush Acquisition LLC.
The Client is granted a non-exclusive, non-transferable license to use these materials for the Client's own business. The Client may not resell, redistribute, republish, or share these materials with third parties without prior written consent from the Company.
Ownership of any deliverables built specifically for the Client during an engagement is governed by the applicable service agreement.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the course of the engagement and to use such information only for the purpose of carrying out the services.
10. Limitation of Liability
Rush Digital Marketing is not liable for any incidental, consequential, indirect, or special damages, or for any loss of profits, business interruption, or related losses arising from the performance or nonperformance of the services.
The Client understands that outcomes may vary based on the information provided, external market conditions, and third-party tools or platforms used in the strategy.
The Company is not liable for delays, restrictions, platform changes, software issues, policy changes, or any other circumstances outside its control.
If a third-party platform or tool prevents the Company from delivering services, the Company may pause activity while supporting the Client in resolving the issue.
11. Communication
Client communication is generally handled via Slack and email. Office hours vary due to time zone differences but are generally Monday through Friday. Rush Digital Marketing typically responds within 24 to 48 hours, excluding weekends and standard public holidays.
12. Modifications to These Terms
Rush Digital Marketing may update these Terms of Service from time to time. Updates will be posted with a revised "Last Updated" date. Continued use of the services after updates constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.
14. Entire Agreement
These Terms of Service, together with any individual service agreement applicable to the Client's engagement, represent the complete understanding between the parties.
In the event of any conflict between these Terms and an individual service agreement, the individual service agreement controls.
No modification or amendment to these Terms is effective unless made in writing by Rush Digital Marketing.
